Successful advisory services provided to Seeberger Professional GmbH in connection with the sale of its vending operations unit to Deutsche Automaten-Partner (DAP)

With the acquisition of Seeberger Professional GmbH’s vending operations by the Deutsche Automaten-Partner (DAP) Group, extensive vending operations are changing hands. For DAP, this acquisition represents a significant expansion of its existing scope of operations and instantly transforms the group into a nationwide operator in the German market.

For Seeberger Professional, the sale—after approximately eight years in the operating business—marks a deliberate and strategic return to its core business: healthy snacking and premium coffee and tea solutions for the foodservice and hospitality industries. The business transition took effect on April 1.

About Seeberger Professional

Seeberger Professional GmbH, headquartered in Ulm, is the B2B trading division of the long-established Seeberger Group. The company is a proven specialist in coffee and snacks and focuses on customized premium coffee and tea solutions as well as snack concepts for the foodservice industry, the hospitality sector, bakeries, and office coffee services (OCS).

About DAP (Deutsche Automaten-Partner)

The Deutsche Automaten-Partner (DAP) group is considered an up-and-coming player in the German vending market. The stated goal of the group, founded in the summer of 2024, is to build a strong nationwide network of operators. The focus is on innovative concepts, high-quality product ranges, and reliable service for on-site vending. The management team consists of Kai Mittmann-Munderloh, Benedict Wollschlaeger, and Leonard Benning.

Our role in the transaction

The team at SGP Corporate Finance served as the exclusive sell-side M&A advisor to Seeberger Professional GmbH throughout the entire transaction process for the sale of its vending division. In conjunction with this, SGP Rechtsanwälte provided comprehensive legal counsel, drafted the purchase agreement, and assisted with the purchase agreement negotiations, while Dr. Nicole Enke advised on all employment law matters.
